Designer Programme Terms

Let's WSPR (letswspr.com) is operated by WSPR Group FZE, a Free Zone Establishment licensed by Sharjah Publishing City Free Zone under trade licence no. 4419528, registered at Business Centre, Sharjah Publishing City, Sharjah Publishing City Free Zone, Sharjah, United Arab Emirates, VAT TRN 104934428400003 ("WSPR", "we", "us").

These terms govern the Designer Programme: our private trade portal where interior designers, architects and studios build projects, request quotes and track orders. By ticking the box on the application form, or by using the portal, you ("you", "the Studio") agree to them. Please read them once, properly. We have kept them short.

1. Who can join

1.1 The Programme is for interior designers, architects and design studios. Anyone can apply.

1.2 WSPR may approve, decline or ask for more information about any application, at our discretion. We do not have to give reasons.

1.3 We may ask for a trade licence or portfolio. Please give us accurate information, and tell us if it changes.

1.4 Approval can be withdrawn, and accounts suspended or closed, if these terms are broken, if information given was untrue, or if the account is misused.

2. Studio accounts and team members

2.1 Each approved Studio has one account with three roles: Owner, Designer and Procurement.

2.2 The Owner is responsible for everyone they invite. That includes what team members do on the account, who is given access, and removing access when someone leaves the studio.

2.3 Studio members share project data within the Studio. If a colleague can see a project, they can see its items, notes, quotes and client details. Please invite only people you are happy to share with.

2.4 Keep your login details private. Tell us promptly at b2b@wsprgroup.com if you think someone has gained access who should not have.

3. What the Programme does

3.1 In the portal you can build projects (boards) from items in the WSPR catalogue and from off-catalogue items from any brand, and ask us for a quote.

3.2 For brands we resell, and for any other brand you ask us to source, WSPR acts as reseller and procurement agent. We are not the manufacturer of third-party products.

3.3 The portal is a working tool, not a shop. There is no online checkout. Quotes, invoices and payments are handled outside the portal, by email and bank transfer.

3.4 Adding an item to a project, or requesting a quote, is not an order and does not commit either of us.

4. Quotes and pricing

4.1 Prices on letswspr.com are shown excluding VAT. UAE VAT, currently 5%, is added to invoices. Our VAT TRN is 104934428400003.

4.2 We aim to respond to quote requests within 2 working days. This is a target, not a promise.

4.3 A quote is valid for 10 days from its date, or for the period stated on the quote. After that, prices and availability may change and we may need to re-quote.

4.4 Customs and duties are included in the quoted price unless the quote says otherwise.

4.5 Quotes may go through several versions. Only the latest version, once you accept it, forms the basis of an order.

4.6 Lead times are estimates passed on from suppliers. They are not guarantees. Production, shipping and customs can all move them. We will tell you promptly when we hear of a change.

4.7 If we make an obvious error in a price or specification, we may correct it before an order is confirmed.

5. Ordering and payment

5.1 You accept a quote in the portal or by email. We then issue a proforma invoice.

5.2 Payment is by bank transfer against the proforma invoice, in three stages:

  • 50% deposit on acceptance of the quote / order;
  • 45% before the goods ship;
  • 5% on signing the delivery note.

5.3 We place orders with suppliers only after the deposit has been received.

5.4 Please pay to the bank details on our invoice only. If you receive different bank details by email, call us before paying.

5.5 Invoices are issued by WSPR from our accounting system and are the financial record. If the portal and an invoice differ, the invoice prevails.

6. Cancellations, returns and damage

6.1 Many items are custom or made to order. Once an order has been placed with the supplier, it generally cannot be cancelled, and custom or made-to-order items cannot be returned.

6.2 Before an order is placed with the supplier, you can ask us to cancel. We will tell you what, if anything, has already been committed.

6.3 What happens to the deposit if an order is cancelled: the deposit is refundable if the order is cancelled before it has been placed with the supplier, and non-refundable after that.

6.4 Please inspect deliveries on arrival. Note any visible damage or shortage on the delivery note when you sign for it, and report it to us in writing within 48 hours of delivery with photos. Late reports are harder to claim from carriers and suppliers.

6.5 Where damage, a defect or a wrong item is confirmed, we will work with the supplier on a repair, replacement or credit. The remedy available depends on the supplier's terms, which we will share with you.

7. Warranties

7.1 Products carry the manufacturer's or supplier's warranty. WSPR passes it through to you, and helps you claim under it.

7.2 WSPR is not the manufacturer and gives no separate warranty beyond what the law requires and what we confirm in writing.

7.3 Warranties normally do not cover misuse, wear, improper installation or unauthorised modification. Details are in each supplier's terms.

7.4 Images, finishes and dimensions are as accurate as the supplier information we receive. Screens differ, so please check finishes against a sample before you specify.

8. Samples

8.1 Samples are free. You keep them. There is no return or collection.

8.2 Delivery times for samples are estimates, see section 4.6. We may limit the number of sample requests if they are being misused.

9. Commissions and trade arrangements

9.1 Any commission or trade arrangement is handled outside the portal and is set out in a separate written agreement.

9.2 Nothing in these terms promises a commission or a discount. If there is a conflict, the separate agreement prevails for that arrangement.

10. Your content and project data

10.1 You may upload images, files, links, notes and project details, including the names of your clients and site addresses.

10.2 You confirm that you have the rights to everything you upload, and that you may share it with us. This includes images of third-party products and any client information you enter.

10.3 You give WSPR a non-exclusive licence to use that content, only as needed to run the Programme and to fulfil your requests. That means preparing quotes, sourcing, ordering, shipping, delivery and after-sales, including sharing what is needed with suppliers and logistics partners.

10.4 You remain the owner of your content. We do not use your projects, client names or images for marketing without asking you first.

10.5 Please do not upload anything unlawful, or anything that infringes someone else's rights. We may remove content that does.

11. Client presentation links

11.1 When we offer the presentation (share link) feature, you choose what to show and who receives the link.

11.2 You are responsible for who you share links with, and for what a link shows, including prices if you choose to display them. Treat links as anyone-with-the-link access unless the portal says otherwise.

11.3 We are not responsible for what recipients do with a link you share. You can turn a link off in the portal.

12. Using the portal

12.1 Use the portal only for your professional work with WSPR. Do not copy it, scrape it, interfere with it, or try to access other studios' data.

12.2 We try to keep the portal available and accurate, but it is provided as is. It may be interrupted for maintenance or because of things outside our control.

12.3 We may change, add or remove features. Planned features, including those described as upcoming, are not promised.

13. Liability

13.1 Nothing in these terms limits liability that cannot be limited under UAE law.

13.2 Subject to that, WSPR is not liable for indirect or consequential loss, such as lost profit, lost projects or delays to your client's programme, arising from lead-time changes, supplier or carrier delays, or use of the portal.

13.3 Subject to 13.1, our total liability to you for any claim relating to an order is limited to the amount you paid us for that order.

13.4 Events outside our reasonable control, such as supplier failure, shipping disruption, customs holds, port delays or government action, are not a breach by us.

14. Changes to these terms

14.1 We may update these terms. We will tell you by email or in the portal. If you keep using the portal after the change, you accept the new version.

14.2 Each application records the version of the terms you accepted. Orders in progress continue on the terms and the quote they were accepted under.

15. Ending your account

15.1 You can close your account at any time by writing to b2b@wsprgroup.com. Open quotes and orders continue to be handled under these terms until completed and paid.

15.2 Sections that by their nature should continue after closure (payment, warranties, content licence for open orders, liability, governing law) do.

16. Governing law and disputes

16.1 These terms are governed by the laws of the United Arab Emirates as applied in the Emirate of Sharjah.

16.3 If we cannot resolve a dispute, it will be referred to the courts of Sharjah.
